One of our manufacturers, who was preparing to go direct, sent us a notice one summer that they were going to end our relationship at the beginning of the following year. Our contract agreement stated that this company had to provide at least 90 days’ notice of termination. I was resigned to losing the line the following January, but decided to run the notice as well as the contract past IMDA’s legal counsel, Mitchell Kramer. Mitchell informed me that our contract form was “legally interpreted” to mean that the manufacturer must give notice of termination at least 90 days prior to the anniversary date of the contract, which was coming up in about eight weeks. They had missed the notification date by only a couple of weeks! As a result of Kramer’s intervention, we kept this line for eight months longer than expected. That phone call, together with my involvement in IMDA, netted me more than $125,000 in gross profits that I wouldn’t have seen otherwise. And even though the manufacturer ultimately pulled the line, I was much better prepared for it.
